The name of this club shall be HOOSIER BEEMERS.
1.2 PUBLICATION OF THIS ORGANIZATION
The official publication of the HOOSIER BEEMERS shall be the “BEEMER BULLETIN.”
Membership in HOOSIER BEEMERS shall be open to any individual who owns a street legal motorcycle: and is interested in furthering the purposes of HOOSIER BEEMERS.
2.2 DUTIES OF A CLUB MEMBER
To be willing to render his or her services when called upon by the club. To promote the sport of motorcycling.
Dues are to be paid annually: with spouses as, non-paying members. The majority of members must vote in a regular meeting in order to raise club dues.
2.4 OTHER MEMBERS
Membership other than individual, such as honorary, shall be established by the Board of Directors on an individual basis and then presented to membership for final vote and approval.
2.5 VOTING RIGHTS
Individual club members shall be eligible to vote in HOOSIER BEEMERS business matters and elections. Each member shall be entitled to one (1) vote so long as current membership is evidenced by records or dues receipt of HOOSIER BEEMERS.
2.6 CHANGES IN BY-LAWS
A 2/3 majority vote by members present shall be necessary in order to change the by-laws of HOOSIER BEEMERS. These changes to be read at one meeting, reread at second meeting and then voted upon.
2.7 TERMINATION OF MEMBERSHIP
An individual membership may be terminated when he falls in arrears of dues. A grace period of ninety (90) days is allowed. Membership may also be terminated by a vote of 4 of the 6 members of the Board of Directors.
2.8 REFUSAL OF MEMBERSHIP
Any individual whose membership in HOOSIER BEEMERS would, in the opinion of the club, be undesirable: may be refused membership by three (3) negative votes from the club membership present.
BOARD OF DIRECTORS
The Board of Directors shall consist of three (3) directors elected by the members and the President, the Vice-President, and the Secretary/ Treasurer. The full Board shall have therefore six (6) members.
The three (3) directors shall be elected on a staggered basis: with a one (1) year director; a two (2) year director and a three (3) year director. Officers shall be elected for a one (1) year term, with new officers being elected by secret ballot at the November meeting and taking office in January.
3.3 SPECIAL MEETINGS
The President may call a special meeting of the Board of Directors.
Four (4) directors shall constitute a quorum of the Board for the trans-action of business at any special meeting.
In the event of a vacancy in the position of any member of the Board of Directors or any officer except the President, the President shall appoint, subject to approval of the membership by vote, an individual club member to fill the vacancy until the next election.
OFFICERS, ELECTIONS, TERMS
The officers of HOOSIER BEEMERS shall be a President, a Vice-President, and a Secretary/Treasurer. All officers shall be individual club members of HOOSIER BEEMERS and shall be elected by the general membership annually All shall serve until their respective successors are installed.
The President shall be the chairman of the Board of Directors and shall appoint all committees and perform such other duties as the Board shall assign from time to time.
- The President shall preside at all club meetings, when present.
- The President shall have general supervision of the affairs of the club.
- The President shall personally, whenever possible, represent the club on proper occasions and business contracts.
- The President shall assist all other officers of the club with their records, correspondence, and other duties.
- The President shall vote when only one (1) vote is needed to break a tie.
The Vice-President shall execute the powers and duties of the President during the absence or incapacity of the President, shall assume the presidency in case of a vacancy in the Presidency, and shall perform such other duties as the board may assign him or her.
The Secretary shall be responsible for the minutes of all meetings of the Board. The Secretary shall be responsible for communicating all necessary matters to the members through “BEEMER BULLETIN” and for handling such other correspondence and duties as the Board or President may assign.
The Treasurer receives all revenues and notifies delinquent members of their status and the possibility of their dismissal from HOOSIER BEEMERS upon continued non-payment of dues. The Treasurer disburses funds as approved by the membership and assures the timely satisfaction of HOOSIER BEEMERS obligations and debts. Disbursement shall be made by check with one (l) authorized signature and shall be initialed by at least one other authorized officer.
4.6 REMOVAL FROM OFFICE
Whenever the interests of HOOSIER BEEMERS best shall be served by the removal of an officer, such officer may be removed by a quorum vote of the Board and a 2/3 majority of the club membership present.
One of the goals of HOOSIER BEEMERS is safety.
ALL MEMBERS, PASSENGERS, AND GUESTS MUST WEAR HELMETS ON CLUB RIDES.
In keeping with our safety awareness program, there will be no drinking of alcoholic beverages or use of illegal drugs on club rides. If in the opinion of a quorum of Directors a person is drunk to the point of being unstable, they will be expelled from that club activity.
The Board of Directors shall be the governing body of HOOSIER BEEMERS and as such shall exercise all powers and perform all duties not covered by these by-laws.
